These Terms and Conditions (Terms) apply to your access to and use of the Country Stalls website, marketplace, Progressive Web App, accounts, maps, seller tools, payment features, and related services at countrystalls.co.nz (together, the Platform).
In these Terms, Country Stalls, we, us, and our mean the operator of the Platform. You and your mean any person who visits or uses the Platform. A Seller is a person or business that lists a stall, product, or service. A Buyer is a person who discovers a Seller or places an order through the Platform.
By accessing or using the Platform, creating an account, listing a stall, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
You must be at least 18 years old and legally capable of entering into a contract to create a Seller account, operate a stall, use payment or wallet features, or make a purchase. A person under 18 may browse the Platform or use it only with the involvement and permission of a parent or legal guardian, who is responsible for that use.
You must provide accurate, current information and keep it updated. You are responsible for activity under your account, keeping login credentials and devices secure, and telling us promptly if you suspect unauthorised access. You must not create an account using another person's identity or use the Platform after we have suspended or closed your account without our written permission.
The Platform helps users discover Sellers and allows participating Sellers to publish listings, manage stall information and inventory, receive enquiries or orders, offer pickup or delivery, display payment instructions, and use supported payment services.
Unless a listing expressly identifies Country Stalls as the Seller, Country Stalls is not the seller, manufacturer, grower, importer, owner, or supplier of goods or services listed by Sellers. The contract for a purchase is between the Buyer and the Seller. Country Stalls provides the venue and may facilitate communications, orders, payments, refunds, reviews, or support.
We do not guarantee that a listing, location, opening time, stock level, Seller identity, product claim, review, route, map pin, delivery estimate, or other user-provided information is complete, accurate, current, or suitable for your purposes.
Users may suggest roadside stalls or honesty boxes that are not yet managed by their owners. A community-submitted listing may contain limited, approximate, or outdated information and does not imply endorsement, affiliation, or owner approval.
If you submit a stall, you confirm that the information is provided honestly, that you have lawful grounds to share any content and location information, and that the listing will not create an unreasonable privacy, safety, or trespass risk. We may verify, edit, hide, decline, combine, or remove any submission. An eligible owner or authorised operator may ask to claim a listing, subject to verification.
A Seller must:
A Seller is solely responsible for its goods, services, personnel, premises, roadside setup, pickup and delivery arrangements, tax obligations, statements to Buyers, and acts or omissions.
You retain ownership of content you submit. You grant Country Stalls a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting or accessibility, publish, display, distribute, and promote that content for operating, improving, and marketing the Platform and the relevant listing. This licence ends when the content is deleted, except for reasonable backups, legal records, and content already shared outside the Platform.
You confirm that your content is accurate, lawful, non-infringing, and appropriate. You must not upload content that is deceptive, defamatory, threatening, discriminatory, obscene, unsafe, malicious, invasive of privacy, or that infringes intellectual property or other rights.
We may moderate, edit for formatting, restrict, refuse, or remove content or listings, but we are not required to review every item before publication.
A product listing is an invitation for a Buyer to place an order unless it clearly states otherwise. An order is subject to acceptance, availability, payment, and any conditions shown at checkout. The Seller accepts the order when it confirms or begins fulfilling it, or as otherwise indicated by the Platform.
The Buyer must review the item, quantity, price, applicable tax, payment method, pickup or delivery choice, address, timing, and Seller terms before submitting an order. The Buyer must provide correct contact and fulfilment information and be available to receive or collect the order as agreed.
If stock or fulfilment information is incorrect, the Seller may propose a substitute, revised arrangement, cancellation, or refund. A Buyer is not required to accept a materially different substitute. Risk and ownership in goods pass as provided by applicable law and any lawful terms agreed directly between Buyer and Seller.
Prices are in New Zealand dollars unless clearly stated otherwise. Sellers are responsible for setting prices and identifying whether tax and delivery charges are included. The total presented at checkout may include item prices, delivery or rural charges, and other clearly disclosed amounts.
Basic stall listing or storefront tools may be offered without a monthly subscription. We may charge Sellers an agreed marketplace commission or other clearly disclosed fee for integrated payments, optional features, or services. Third-party payment providers may also charge processing, payout, dispute, refund, conversion, or other fees under their own terms. The rate or method that applies will be shown in the Seller setup or dashboard, at the relevant transaction step, or otherwise agreed before it applies.
We may introduce or change fees prospectively by giving reasonable notice. A new fee will not be applied retrospectively to a completed transaction. Sellers are responsible for their own GST, income tax, records, filings, and other tax obligations.
Payment options differ by Seller. Payments may be made directly to a Seller or processed by a third-party provider such as Stripe or POLi, or through an enabled Country Stalls payment feature such as RoadPay. Your use of a third-party service is also subject to that provider's terms and privacy policy.
We may transmit information to payment providers, facilitate payment instructions, deduct disclosed fees, place reasonable holds, reverse or refund transactions, or delay a payout where required to manage fraud, disputes, chargebacks, sanctions, legal obligations, negative balances, or payment-provider requirements.
If you use RoadPay or another stored-value feature, balances are for use only through supported Platform functions and are not a bank account, deposit, or investment. Availability, top-up, transfer, withdrawal, verification, limits, fees, reversals, and processing times may depend on the enabled service and banking or payment partners. You must not use a payment feature for money laundering, fraud, cash advances, prohibited transactions, or activity unrelated to a genuine permitted payment.
We do not receive or store full card numbers. A payment provider may decline, reverse, or investigate a transaction independently of Country Stalls.
Buyers should contact the Seller promptly about a cancellation, non-delivery, damaged or unsafe item, incorrect description, or other purchase issue. Cancellation may not be possible after a perishable, personalised, prepared, collected, dispatched, or delivered order has progressed, except where the Buyer has a right to cancel or obtain another remedy under applicable law.
The Seller is responsible for deciding and providing lawful purchase remedies. Country Stalls may assist with communication or payment administration but is not required to decide the merits of a Buyer-Seller dispute. We may request evidence, pause access, remove a listing, or cooperate with a payment provider or authority.
A Buyer must not make a dishonest or abusive chargeback. A Seller is responsible for valid refunds, chargebacks, reversals, penalties, and related amounts arising from its transactions. Nothing in these Terms limits rights or remedies that cannot lawfully be excluded.
Reviews and messages must be genuine, relevant, respectful, and based on actual interactions. You must not post fake reviews, offer undisclosed incentives for a particular rating, threaten another user, publish unnecessary personal information, send spam, or use Platform communications for unlawful purposes.
We may remove content, restrict messaging, or suspend an account where we reasonably believe these rules have been breached. We may send service messages about accounts, orders, payments, security, safety, and material changes. Marketing messages will be handled in accordance with your choices and applicable law.
You must not:
Map pins, distance calculations, delivery radii, routes, GPS positions, and opening indicators are estimates and may be inaccurate, delayed, or unavailable. Do not rely on the Platform for emergency navigation or as your only source of directions.
Use ordinary care when travelling to or visiting a stall. Obey road rules and signage, do not use a device while driving, do not enter private land or restricted areas without permission, supervise children, and take appropriate precautions around roads, animals, machinery, uneven ground, food, and unattended stalls.
The Platform software, design, databases, Country Stalls name and branding, and content created by us are owned by or licensed to Country Stalls and are protected by intellectual property law. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Platform for its intended purpose. No other rights are granted.
We may change, improve, suspend, or discontinue any part of the Platform. We aim to provide a useful and reliable service, but we do not promise uninterrupted, secure, error-free, or permanently available access. Maintenance, connectivity, device limitations, third-party services, emergencies, or events outside our reasonable control may affect availability.
You may stop using the Platform at any time and may ask us to close your account, subject to records we must retain and outstanding orders, payments, disputes, or legal obligations.
We may warn, restrict, hide, suspend, or terminate an account, listing, content, payment feature, or access where we reasonably believe it is necessary to protect users or the Platform, comply with law or provider requirements, investigate suspected misconduct, manage risk, or respond to a breach of these Terms. Where appropriate, we will give notice and a reasonable opportunity to respond.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, remedy, or liability that cannot lawfully be excluded, including applicable rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.
To the maximum extent permitted by law, the Platform is provided on an as-is and as-available basis. We do not give warranties about Seller content, product quality, merchantability, fitness, safety, legality, availability, identity, location, fulfilment, or the outcome of any Buyer-Seller transaction.
If you use the Platform in trade, you agree that, to the extent legally permitted and fair and reasonable, the statutory guarantees that may be contracted out of do not apply to Platform services supplied to you for business purposes. This paragraph does not affect a consumer's non-excludable rights.
To the maximum extent permitted by law, Country Stalls is not liable for indirect, consequential, special, or exemplary loss, loss of profit, revenue, data, opportunity, goodwill, or anticipated savings, or for loss arising from a Seller's goods, services, content, premises, conduct, fulfilment, or transaction.
Where Country Stalls is liable and the liability can lawfully be limited, our total aggregate liability arising from the relevant event is limited to the greater of: (a) the fees you paid directly to Country Stalls for the relevant Platform service during the six months before the event; or (b) NZD $100. This limit does not apply to fraud, wilful misconduct, or liability that cannot lawfully be limited.
You are responsible for reasonably avoiding or reducing loss and for maintaining suitable devices, connectivity, records, backups, insurance, and security for your use of the Platform.
If you use the Platform as a Seller or otherwise in trade, you indemnify Country Stalls and its personnel against third-party claims, losses, liabilities, penalties, and reasonable costs arising from your goods or services, premises, content, legal non-compliance, tax obligations, infringement of rights, Buyer dispute, or breach of these Terms, except to the extent caused by Country Stalls' own negligence, breach, fraud, or wilful misconduct.
Our Privacy Policy explains how we collect, use, store, and share personal information. Sellers who receive Buyer information must protect it and use it only for fulfilment, support, legal records, or another purpose for which they have a lawful basis and any required consent.
We may update these Terms to reflect changes to the Platform, providers, fees, risks, or law. We will post the revised Terms with a new last-updated date and give reasonable notice of material changes where practicable. Changes apply prospectively. If you continue to use the Platform after revised Terms take effect, you accept them.
These Terms are governed by New Zealand law. The New Zealand courts have non-exclusive jurisdiction. This does not prevent a consumer from using the Disputes Tribunal or another forum or right available under applicable law.
Before starting formal proceedings, please contact us and give us a reasonable opportunity to understand and address the issue. This does not stop either party seeking urgent relief or exercising a right that has a time limit.
If any part of these Terms is unlawful or unenforceable, it will be modified to the minimum extent necessary or severed, and the rest will continue. A delay in enforcing a right is not a waiver. You may not transfer your rights or obligations under these Terms without our consent. We may transfer our rights and obligations as part of a genuine restructure, sale, or transfer of the Platform, provided this does not reduce non-excludable rights.
These Terms, the Privacy Policy, the information shown at the relevant transaction step, and any additional terms expressly accepted for a feature form the agreement between you and Country Stalls about the Platform. Seller-specific terms may also apply to a Buyer-Seller contract, but they do not form part of the agreement between you and Country Stalls.
